These Terms & Conditions ("Terms") govern all projects, services, and engagements between Ultravux Private Limited ("Ultravux", "we", "us", "our") and the client ("Client", "you"). By making a payment, sharing a brief, or beginning a project with us, you agree to these Terms in full. Please read them carefully.

General Terms
Agreement & Acceptance
A project is considered confirmed once an advance payment is received and/or a brief is submitted. Payment or commencement of work constitutes acceptance of these Terms.
Project Initiation
Project Initiation Work begins only after (a) the agreed advance is received, and (b) a completed project brief and all required inputs are submitted by the Client. Projects cannot start on incomplete briefs.
Client Responsibility for Brief
The Client is responsible for providing clear, complete, and accurate requirements at the start. Where the Client states they have no specific requirements and asks us to proceed at our discretion, the resulting creative direction is considered valid work, and revisions to change that direction will be treated per the applicable revision or redesign policy.
Communication & Working Hours
Our working hours are Monday to Saturday, 10:00 AM – 7:00 PM IST. All project communication must happen through the agreed official channel and primary point of contact. Calls and meetings should be scheduled in advance. Requests outside working hours will be addressed on the next working day.
Single Point of Contact (POC)
The Client must designate one authorised decision-maker as the single point of contact. Ultravux is not responsible for delays, conflicts, or rework arising from conflicting instructions given by multiple stakeholders.
Written Communication
Only instructions, approvals, and feedback given in writing through the official channel are binding. Verbal or informal instructions not confirmed in writing will not be considered part of the agreed scope.
Timelines
Project timelines are estimates based on timely Client cooperation. Timelines begin only after all required inputs are received and extend automatically by the period of any Client-side delay.
Delays Caused by the Client
Where delays in feedback, approvals, content, or payment are caused by the Client, the project timeline is extended accordingly. Such delays do not constitute non-performance by Ultravux, and payment obligations remain unaffected.

Graphic Design
Concepts Provided
Unless otherwise stated in writing, each project includes a defined number of initial design concepts (e.g., two concepts). "Unlimited concepts" or "designs until satisfied" are not part of any engagement unless explicitly agreed in a written, separately priced agreement.
Revisions vs. Redesign
Revisions are minor refinements to an approved concept (e.g., adjusting spacing, color shade, or text). A request that changes the core direction — such as "make it traditional instead of premium," "change the entire layout," or "different overall feel" — is a redesign, not a revision, and will be quoted and charged separately.
Revisions Apply to One Concept
Revisions are applied to a single selected concept. Requesting changes across multiple concepts simultaneously, or developing two concepts in parallel, is outside the included scope.
Consolidated Feedback
The Client agrees to provide complete, consolidated feedback in a single written round per revision. Scattered feedback shared across multiple messages, calls, or days, or new points added after a revision round has begun, may be treated as additional revisions.
Clarity of Feedback
Feedback must be specific and actionable. Vague feedback such as "I don't like it" or "make it different" without clear direction may delay the project, and resulting iterations will count toward the agreed revision limit.
Reference Material
Where the Client provides references, they should clearly indicate what specifically they like (color, font, style, layout). Ultravux is not responsible for rework caused by unclear or mismatched references.
Single Final Deliverable
On final approval, source files are provided for the one approved concept only. Unapproved or alternate concepts are not delivered. Requesting files for multiple concepts requires a separate payment per concept.
Brief or Direction Change Mid-Project
If the Client changes the business name, core direction, or style after work has begun, the work done becomes chargeable, and the changed requirement is treated as a new scope.
Revisions — What's Included, What's Not
Definition
A revision means refining the design within the original brief and direction you approved. If the requirements, direction, or scope themselves change, it is not a revision — it is new work.
A revision is
Improving or adjusting the design we created based on the brief you originally gave — for example: tweaking spacing, changing a colour shade within the agreed palette, resizing an element, or correcting text. The destination stays the same; we're just refining the route.
A revision is NOT
A change to the brief, requirements, or direction after work has begun. For example:
1. Changing the business name, tagline, or core message
2. Switching the style direction ("make it traditional instead of premium")
3. Adding new elements, pages, products, or variants not in the original scope
4. Providing a new reference or requirement after we've already designed to your first one
5. Changing packaging size, structure, or type after design has started
When the brief changes, the work changes — so this is treated as new scope and is quoted separately, regardless of how many revisions remain.
Why this matters
Revisions are counted against the brief you gave us. If you change the brief, the revision count resets to a new project — because we're no longer refining the original work, we're building something new. A revision improves the existing direction; it cannot be used to fund a change of direction.
"Revisions are for perfecting the dish you ordered — not for changing your order after it's cooked."
Packaging Structure & Type
The Client must confirm the packaging type, structure, container size, and format before design begins. Any change to structure, size, or type after design commencement is a new scope and is chargeable, including rework on master designs and all variants.
Dieline / Template Responsibility
The Client is responsible for providing an accurate dieline or vendor template before design begins. If the Client provides the dieline after designs are completed, any resulting rework is chargeable.
Master Design & Variants
Pricing is based on a master design and its agreed variants. Each variant is an adaptation of the approved master, not an entirely new design. A request for a fully new design per product is a separate, separately priced project.
Post-Approval Element Changes
Once a master design or variants are approved, a change to any single element that affects the overall layout (and therefore requires updates across all variants) is treated as additional work and is chargeable.
Print Vendor Interference
Ultravux delivers print-ready files per the confirmed specifications. If the Client's print vendor requests changes to colors or layout after delivery, such changes are outside the original scope and are chargeable. Ultravux is not liable for issues arising from the Client's chosen vendor.
Colour Mode (Screen vs. Print)
Designs approved on screen (RGB) may appear different in print (CMYK). Final files are prepared in print-appropriate color modes; however, exact color matching in print depends on the vendor, material, and printing process, and is not guaranteed by Ultravux.
Regulatory & Compliance Content
All mandatory information — barcode, FSSAI number, ingredient list, MRP, manufacturing/expiry details, and any legal or regulatory content — must be provided and verified by the Client. Ultravux places this content as provided and is not responsible for its accuracy, completeness, or legal compliance.
Pre-Final Confirmation
Before preparing final files, we obtain written confirmation from the Client that all details are correct. Once the Client confirms, Ultravux is not responsible for errors discovered later that were present in the confirmed version. Corrections after confirmation are chargeable.
Late Compliance Review
Any review of compliance details requested by the Client weeks or months after final delivery is outside scope, and resulting changes are chargeable.

Video & Animation
Scope & Deliverables
Each project includes a defined output — video length, format, number of scenes, and style (2D, 3D, motion graphics, etc.) — as stated in your proposal. Anything beyond the agreed length, scene count, or format is new scope and is quoted separately.
Stage-Wise Approval
Video and animation are produced in stages — concept, script, storyboard/styleframes, production, and post-production. Each stage must be approved in writing before we move to the next. This protects your time and budget, as changes are far costlier once production begins.
Approved Stages Are Locked
Once a stage is approved (e.g., script or storyboard), changes to that stage afterwards — such as rewriting an approved script or reworking approved styleframes — are treated as additional work and are chargeable, because subsequent stages are built on it.
Revisions vs. Redesign
A revision is a minor refinement within an approved stage (e.g., adjusting text timing, a colour, or a minor visual tweak). A change to the concept, script direction, style, or storyline after approval is not a revision — it is new work, quoted separately
Client-Provided Material
Logos, product images, footage, brand assets, and any specific content must be provided by the Client in usable, high-resolution form before production begins. Delays or rework caused by missing, low-quality, or late material are the Client's responsibility.
Voiceover, Music & Stock Assets
Voiceover, licensed music, stock footage, or premium assets are included only if specified in the proposal. Any additional or premium licensed assets requested are charged separately. The Client is responsible for any licensing of material they provide.
Render & Delivery
Final video is delivered in the agreed format and resolution after full payment. Additional formats, aspect ratios (e.g., separate cuts for Reels, YouTube, ads), or resolutions beyond the agreed deliverables are chargeable.
Source / Project Files
Editable project files (e.g., After Effects, working files) are not included by default and remain Ultravux's property. They are provided only if agreed in writing and separately priced.
Consolidated Feedback
Feedback at each stage must be provided complete and consolidated in a single written round. Scattered or repeated feedback across calls and messages, or new points added after a round has begun, may count as additional revisions.

Website Development
Scope & Page Count
The number of pages, features, and functionalities is fixed at the start based on the agreed proposal. Additional pages, features (e.g., wishlist, comparison, loyalty systems), or integrations requested mid-project are a new scope and are quoted separately.
Requirements & References
The Client must provide all requirements, references, and structural preferences at the start. References, specific page styles, or sections shared after work has been approved and developed are treated as a new scope, not a revision.
Content Responsibility
All website text content (product descriptions, About Us, contact details, blogs) and images/product photos must be provided by the Client in usable form. Ultravux is not responsible for delays caused by missing, incomplete, or late content. Our role is to format and present provided content in a website-friendly, SEO-friendly manner.
Legal & Policy Content
Privacy policy, terms, refund policy, and similar legal content must be provided by the Client, reviewed and approved by the Client's own legal advisor or CA. Ultravux only formats and places this content and bears no responsibility for its legal accuracy or consequences.
Design & UI/UX Approval
Each stage (UI/UX, sections, design) is developed after Client approval. Changes requested to a section after it has been approved are treated as additional work.
Responsive Development
Responsive (mobile/tablet) development is carried out after Client approval of the design. Changes requested after responsive work begins must be applied across desktop, tablet, and mobile, and are treated as additional work.
Banners & Graphics
Banners and graphics are uploaded after final approval. Repeated additions of new banners or graphics for new sections beyond the agreed scope are chargeable.
Hosting, Domain & Access
The Client is responsible for providing domain and hosting access and credentials on time. Deployment delays caused by missing access are the Client's responsibility. Ultravux is not responsible for website performance, speed, downtime, or errors caused by the Client's choice of low-quality or unsuitable hosting.
SSL, Security & Backups
SSL certificates, website security, and backups are provided by the Client's hosting plan and are the Client's responsibility. Ultravux is not responsible for "Not Secure" warnings, expired SSL, or data loss arising from the Client's hosting.
Third-Party Tools & Integrations
Some plugins, tools, or integrations may not be compatible with all hosting platforms, or may affect site speed. Ultravux is not responsible for limitations, performance impact, or failures caused by third-party tools or excessive plugin requirements made by the Client.
Payment Gateway & Logistics Integration
Payment gateway and logistics integrations on the live website are completed only after all dues are cleared. This is a standard condition of the engagement.
UAT (Testing)
The Client is given a defined testing window to review the website and provide consolidated feedback once. Repeated, open-ended testing cycles or newly introduced requirements during testing are outside scope.
Handover & Training
At handover, we provide a backend walkthrough (adding products, managing orders, etc.). It is the Client's responsibility to attend and learn. Repeated basic operational support after handover is not covered under free support.
Post-Handover Tampering
Once handed over, any changes made by the Client or their team to the backend (plugins, settings, code, database) are at the Client's risk. Fixing issues caused by such tampering is not covered under free support and is chargeable.
Post-Launch Changes & Maintenance
Free support (if any) covers only technical bug fixes for a defined period, not new changes, new pages, color changes, or design edits. Any "free service" mentioned post-launch refers strictly to defined technical support, not ongoing design or content changes.

Digital Marketing
Scope of Services
Digital marketing services (Meta, Google, LinkedIn campaigns, etc.) are defined in the proposal. Ad spend is separate from service fees and is borne by the Client.
Performance Disclaimer
Ultravux applies proven strategies and best practices to drive results. However, advertising performance depends on factors including budget, market conditions, competition, product, pricing, and platform algorithms. Specific results, ROAS, lead volumes, or sales figures are not guaranteed. Past results do not guarantee future performance.
Client Inputs
Timely provision of creatives inputs, product information, offers, access to ad accounts, and approvals is the Client's responsibility. Delays caused by missing inputs are not Ultravux's responsibility.
Platform Compliance
Campaign approval, account status, and ad delivery are governed by third-party platforms (Meta, Google, etc.). Ultravux is not responsible for account restrictions, ad rejections, or policy actions taken by these platforms.
Reporting
Performance is reported transparently on agreed metrics. Results are measured against business outcomes, not vanity metrics.

Payment Terms
Advance Payment
Projects commence only after the agreed advance is received. The advance is non-refundable once work has begun.
Payment Schedule
Payments follow the agreed milestone or stage-based schedule. "Payment only after full project completion" is not accepted unless explicitly agreed in writing.
Payment is not conditional on Subjective Satisfaction
Payment milestones are tied to delivery of work, not to subjective preference. Withholding payment on grounds such as "I'll pay when I finalize" or "I didn't like the design" — where work has been delivered per the brief — is not permitted.
Delay & Client Disappearance
Where a Client withholds payment, becomes unresponsive, or delays the project from their side, Ultravux reserves the right to pause work. Completed work remains chargeable. Payment obligations are unaffected by Client-side delays.
Bulk / Combo Orders
Discounted bulk pricing (e.g., logo + packaging + website together) is conditional on completing the full agreed package. If the Client cancels or removes part of the package mid-way, the delivered items are recharged at individual (non-discounted) rates, and the balance is payable accordingly.
File Release
Final source files and editable files are released only after full and final payment is received. This applies to all services, including bulk orders where a single deliverable is approved but dues remain.
Urgency / Rush Charges
Where the Client causes delays and then requires urgent/rushed delivery, an urgency premium applies. Rushed delivery cannot be demanded without additional charges.
Taxes
All fees are exclusive of applicable taxes (GST), which will be charged as per law.

Ownership & IP Rights
Ownership Transfers on Full Payment
All intellectual property and ownership rights in the final approved deliverables transfer to the Client only upon receipt of full and final payment. Until then, all work remains the property of Ultravux.
Concepts & Drafts
Unapproved concepts, drafts, and working files remain the exclusive property of Ultravux and may not be used, reproduced, or recreated by the Client without payment.
No Recreation of Our Work
The Client may not copy, recreate, or have a third party recreate any concept, draft, or shared work without full payment. Concepts and references shared during the project remain protected. Recreating our work without payment is a breach of these Terms.
Client-Provided Material
The Client warrants that any material they provide (images, icons, fonts, text, logos, designs) is owned by them or properly licensed. The Client takes full responsibility and liability for any copyright or IP issue arising from material they provide or instruct us to use, even after we have advised against such use in writing.
Replication Requests
If the Client provides an existing design (including AI-generated or sourced material) and instructs us to create something the same or similar, the Client takes full legal responsibility for any resulting copyright, trademark, or IP claim. Ultravux is indemnified against all such claims.
Trademark Search Responsibility
Conducting trademark searches and registering trademarks is the Client's responsibility, to be done through a qualified professional. Ultravux does not provide trademark clearance and is not liable if a delivered design is later found similar to an existing mark.

Cancellation & Refund Policy
Advance is Non-Refundable
Advance payments are non-refundable once work has commenced, as resources and time are committed immediately.
Cancellation by Client
If the Client cancels mid-project, payment is due for all work completed up to the cancellation date. Any advance is adjusted against this; no refund is provided for work already done.
Business Closure / Personal Reasons
Project cancellation due to the Client's business closure, partner exit, or personal reasons does not entitle the Client to a refund of amounts paid for work performed, and dues for completed work remain payable.
Inactive / Abandoned Projects
If a Client becomes unresponsive for an extended period (e.g., 30+ days), Ultravux may treat the project as abandoned. Resuming an abandoned project may require revised timelines and charges.

Confidentiality
Mutual Confidentiality
Both parties agree to keep confidential all non-public business, financial, and strategic information shared during the engagement.
Client Data
We treat Client information per our Privacy Policy and applicable data protection law (including the DPDP Act, 2023).
Our Methods
Our processes, frameworks, internal tools, and unapproved creative work remain confidential to Ultravux.

Portfolio & Usage Rights
Right to Showcase
Unless agreed otherwise in writing, Ultravux reserves the right to display completed work in its portfolio, website, social media, case studies, and marketing materials, with appropriate credit.
Confidential Projects
If a Client requires a project to remain confidential, this must be agreed in writing before project completion.
Performance Data
Ultravux may reference anonymized or aggregate performance outcomes (e.g., results achieved) in case studies and marketing, without disclosing confidential commercial details.

CONDUCT, LEGAL & DISPUTE TERMS
No Coercion
Threats — including threats of negative reviews, legal action, or social media exposure — used to avoid payment, extract free work, or pressure Ultravux, constitute a breach of good-faith dealing and these Terms.
False or Defamatory Reviews
Posting false, misleading, or defamatory reviews — particularly as a bargaining tactic or in retaliation where no valid, unresolved complaint exists — is prohibited and may attract legal action under applicable law.
Limitation of Liability
Ultravux's total liability for any claim is limited to the amount paid by the Client for the specific service in question. Ultravux is not liable for indirect, incidental, or consequential losses, including loss of profits, business, or data.
Indemnification
The Client agrees to indemnify and hold Ultravux harmless against any claims, damages, or losses arising from (a) material the Client provided, (b) replication instructed by the Client, (c) regulatory or legal content supplied by the Client, or (d) the Client's breach of these Terms.
Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control (natural disasters, internet/platform outages, government action, etc.).
Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the courts of Delhi, India. For international clients, engaging Ultravux constitutes acceptance of Indian governing law and jurisdiction.
Amendments
Ultravux may update these Terms from time to time. The version in effect at the time of project confirmation applies to that project.

FAQ
How many design concepts will I get?
Each project includes a defined number of concepts (typically two) as stated in your proposal. We don’t offer “unlimited concepts” — this keeps the process focused and the quality high.
What counts as a revision vs. a redesign?
A revision is a minor refinement to your chosen concept. Changing the entire direction, layout, or feel is a redesign and is quoted separately.
When do I receive the final source files?
Final editable/source files are released after full and final payment.
Who is responsible for the content and images on my website?
You provide the text and images; we format and present them professionally. This keeps your project on schedule.
Will my website rank on Google automatically?
No. A well-built website is SEO-friendly, but ranking on Google requires dedicated SEO, which is a separate service. We’re happy to discuss it.
Do you guarantee specific marketing results or ROAS?
We apply proven strategies and have strong track records, but no agency can guarantee specific results, as performance depends on budget, market, and platform factors.
What if I delay feedback or approvals?
Timelines extend by the period of any delay on your side. This doesn’t affect agreed payment milestones.
Can I use a design or concept you showed me but I didn't pay for?
No. All concepts and work remain Ultravux’s property until full payment. Recreating unpaid work is a breach of these Terms.
Who handles legal/regulatory content (FSSAI, ingredients, privacy policy)?
You provide and verify all legal and regulatory content through your own advisor. We place it as provided.
What happens if I need urgent delivery?
Rush delivery is possible with an urgency premium, especially where timelines were affected by earlier delays.
Need clarity on any term?
We believe great partnerships start with clear expectations. If you have any questions about these Terms, reach out before starting your project.
